  1. Capricor adopted changes to the pre-specified statistical analysis plan used to analyze clinical data for Deramiocel;
  2. the FDA had not agreed to those changes before the Company resubmitted its Biologics License Application (“BLA”) for Deramiocel;
  3. as a result, there was a significant risk that the FDA would conclude the clinical results did not provide substantial evidence of Deramiocel’s effectiveness;
  4. accordingly, there was a substantial risk that Deramiocel would not receive regulatory approval for the treatment of Duchenne muscular dystrophy; and
  5. as a result, Defendants’ positive statements regarding the Company’s business, operations, and prospects were materially false and misleading and lacked a reasonable basis.
